Overview
Due to progressive growth, we are seeking to appoint a Senior Company Secretary to provide company secretarial services and governance advice to our clients.
The successful candidate will be required to assume the statutory position(s) of company secretary of clients or act in a consultancy capacity (depending on Company Matters’ terms of engagement on a case-by-case basis).
Key Accountabilities and main responsibilities
Operational Management
  • Provide technically correct, practical and commercial advice in relation to the Corporations Act, the ASX Listing Rules, market practice and general corporate governance advisory
  • Attend Board and Committee meetings and preparing accurate, timely and professional minutes of meetings
  • Attend to annual reporting requirements, drafting notices of meetings and managing member meetings
  • Corporate action project management
  • Manage workflow commensurate with new business functions within Company Matters and the broader Link Group
  • Work collaboratively with client Board and Management to achieve desired governance outcomes
  • Where appropriate, provide leadership and mentoring to members of the Company Matters’ team
Experience & Personal Attributes
  • Minimum 7+ years’ experience in an ASX listed company secretarial or legal/finance role and/or a top tier law firm 
  • Excellent technical skills in working with the ASX Listing Rules (especially with continuous disclosure matters) and the Corporations Act
  • Ability to prioritise and manage multiple clients and tasks, work well under pressure and exercise independent judgment
  • Meticulous attention to detail
  • Ability to interact and develop relationships with a number of stakeholders, including Directors and senior management
  • Demonstrate commitment to delivering results through drive and effective teamwork
  • Ability to work both independently and within a team
  • Experience working within a Company Secretarial team, with Boards and senior executives of ASX listed companies
